Your new role
  • Ensure all corporate documentation adheres to relevant statutory and regulatory requirements, maintaining high standards of governance.
  • Manage and maintain accurate filing of corporate secretarial documents, including up-to-date statutory registers.
  • Assist in the planning and execution of AGMs and shareholder meetings, ensuring compliance with legal and internal governance frameworks.
  • Contribute to the preparation of meeting agendas and presentation materials to support meaningful and effective board discussions.
  • Coordinate the scheduling and logistics of board and committee meetings.
  • Oversee the accurate documentation, approval, and timely circulation of board and committee meeting minutes.
  • Maintain organised records of board resolutions and key decisions to ensure transparency and accountability.
  • Safeguard and manage access to the company’s constitution and other governing documents for directors and members.
  • Prepare and submit annual returns and other required statutory filings to the Commissioner of Charities (COC) and ACRA (where applicable) within prescribed deadlines.
  • Maintain comprehensive and compliant donation records in line with regulatory requirements, using provided templates and guidelines.
  • Ensure all records required by the COC are accurate, complete, and up to date, supporting timely and accurate statutory submissions.
  • Demonstrate a proactive understanding of the Charities Act, IPC regulations, and the Code of Governance, promoting best practices and full compliance across the organisation.
  • Interpret and apply compliance directives in accordance with the Charities Act to ensure adherence to all relevant statutory obligations.
  • Manage website and communication platforms by updating content to ensure information remains current, accurate, and aligned with organisational standards.
  • Support the administration of grants and donations by maintaining proper documentation and following established checklists for accountability.
  • Assist the Finance Officer in maintaining and filing financial records in accordance with regulatory and internal guidelines.
  • Ensure systematic maintenance and organisation of financial documents, using prescribed filing systems.
Special projects:
  • Take the lead on exciting and impactful special projects, contributing to the organisation’s continuous innovation and evolution.
  • Collaborate with cross-functional teams to bring special projects to successful fruition, adding a dynamic dimension to your role.

What you will need to succeed
  • Possesses 8–10 years of experience in corporate secretarial practice, with a solid track record in handling complex corporate governance matters.
  • Familiarity with the Charities Act is advantageous.
  • Excellent interpersonal and communication skills, with fluency in both written and spoken English, enabling effective engagement with stakeholders across all levels.
  • Highly proactive and meticulous, able to perform under pressure in a fast-paced environment while consistently delivering high-quality work.
  • Demonstrates agility in navigating complex and evolving regulatory requirements, with a strong ability to adapt quickly and implement practical solutions efficiently.
  • A collaborative team player with a positive mindset, capable of leading and mentoring junior team members to cultivate a supportive and high-performance culture.
  • Curious and committed to continuous learning, showing diligence in day-to-day responsibilities, and staying updated on developments in corporate governance and compliance.
